Free zone or mainland: six questions before you choose a UAE licence

Choose a UAE licence around your activity, customers, permissions, tax position, banking and real operating costs, rather than the headline package price.

The licence package is only one part of setting up a business. A useful choice starts with how the company will actually operate: what it does, where it works, who its customers are and which permissions it needs.

Ask these six questions first

  1. What activity will you perform? Confirm the precise licensed activity and whether a sector regulator must approve it.
  2. Where and how will you serve customers? A customer address alone does not settle the licensing question. Consider where work is carried out, goods are supplied and staff operate.
  3. What premises and visas will you need? Compare your likely requirements over the next few years, not only the initial package.
  4. What is the tax position? Free zone incorporation does not automatically produce a zero Corporate Tax outcome. Qualifying conditions, the type of income and operational substance need their own review.
  5. What will banking require? Prepare a clear business model, ownership information and evidence of expected transactions. An account opening is a bank decision, not something a licence package guarantees.
  6. What is the full operating cost? Compare renewals, premises, visas, permits, accounting, audit where required and any additional regulatory obligations.

Mainland access depends on the applicable route

A free zone licence should not be treated as blanket permission to conduct every activity on the mainland. Equally, it is too simple to assume that every UAE customer requires a new mainland company. The answer depends on the emirate, activity, free zone and permissions available.

Dubai Executive Council Resolution No. 11 of 2025 provides routes for qualifying free zone establishments to conduct activities outside the free zone within Dubai, subject to DET licensing or permits and other conditions. DET subsequently announced its Free Zone Mainland Operating Permit. This is a Dubai framework, not a universal permission for every free zone company across the UAE.

Compare a real operating scenario

Write down a typical customer order, where staff deliver the work, how goods or services are supplied and how the company receives payment. Then ask the relevant licensing authority to confirm what that scenario needs. This is a better starting point than choosing solely on a first-year discount.
